Terms of Service

These Terms of Service ("Terms") govern access to and use of the AQUANExT™ competition automation platform, including all associated mobile applications, live scoring systems, synchronization engines, dashboards, APIs, databases, and related services (collectively, the "Platform").

By accessing or using the Platform, you agree to be legally bound by these Terms. If you do not agree, you must immediately discontinue use.

1. Ownership & Proprietary Rights

The Platform, including but not limited to its source code, architecture, database schema, synchronization protocols, ranking algorithms, workflow logic, mobile application integration systems, API structures, UI/UX flow, and deployment frameworks are the exclusive intellectual property of AQUANExT™.

No ownership rights are transferred to users. All rights not expressly granted are reserved.

2. Limited License

AQUANExT™ grants a limited, revocable, non-exclusive, non-transferable license to use the Platform strictly for authorized competition management purposes.

Live results generated via mobile timekeeper integration are provisional until validated by authorized competition officials.

5. Anti-Replication & Competitive Misuse

Any attempt to replicate, clone, imitate, or commercially reproduce the structural workflow, synchronization logic, or ranking engine of the Platform may constitute intellectual property infringement and unfair competition.

AQUANExT™ reserves the right to pursue civil and injunctive remedies, including recovery of damages and legal costs.

6. Monitoring & Enforcement

The Platform may implement monitoring mechanisms, audit logs, and technical fingerprinting to detect unauthorized duplication or misuse.

Violations may result in immediate suspension of access without notice.

7. Limitation of Liability

To the maximum extent permitted by law, AQUANExT™ shall not be liable for indirect, incidental, consequential, or special damages arising from use of the Platform.

Total liability, if any, shall not exceed the amount paid for the relevant event or service.

8. Indemnification

Users agree to indemnify and hold harmless AQUANExT™ from claims arising out of misuse, unauthorized access, or regulatory violations related to competition data.

9. Termination

AQUANExT™ reserves the right to suspend or terminate access for any violation of these Terms or suspected misuse.

10. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India.

Any dispute, claim, or controversy arising out of or relating to AQUANExT™, including but not limited to its use, access, intellectual property, synchronization systems, mobile integration, or enforcement of these Terms, shall be subject to the exclusive jurisdiction of the courts located in Pune, Maharashtra, India.

The parties expressly agree that the District Courts at Pune, Maharashtra, shall have exclusive territorial jurisdiction in all such matters.

11. Pre-Litigation Mediation

In the event of any dispute, controversy, or claim arising out of or relating to AQUANExT™, its platform, mobile synchronization systems, intellectual property, or these Terms, the parties shall first attempt to resolve the matter through good faith mediation.

Such mediation shall be conducted in Pune, Maharashtra, India, within thirty (30) days of written notice of the dispute.

Participation in mediation shall be a condition precedent to initiating formal arbitration or court proceedings, except in cases involving intellectual property infringement or urgent injunctive relief.

12. Mandatory Arbitration

If the dispute is not resolved through mediation, it shall be finally resolved by binding arbitration in accordance with the Arbitration and Conciliation Act, 1996 (India).

The seat and venue of arbitration shall be Pune, Maharashtra, India.

The arbitration shall be conducted by a sole arbitrator appointed in accordance with applicable law.

The language of arbitration shall be English.

The arbitral award shall be final and binding upon the parties.

13. Injunctive Relief for Intellectual Property Protection

Notwithstanding the foregoing dispute resolution provisions, AQUANExT™ reserves the right to seek immediate injunctive or equitable relief from the competent courts at Pune, Maharashtra, India, in cases involving:

The parties acknowledge that monetary damages alone may be insufficient to remedy such harm.

14. Emergency Relief & System Cloning Protection

In the event of suspected system cloning, architectural replication, workflow imitation, or synchronization model reproduction, AQUANExT™ shall be entitled to seek immediate ex-parte interim relief, including temporary restraining orders and injunctions.

Such relief may be sought without prior notice where delay may cause irreparable harm to proprietary technology or competitive position.

AQUANExT™ further reserves the right to pursue civil damages, statutory remedies, and recovery of legal costs in addition to equitable relief.
